Principles | Board Committee Mandates

At Samuel Manu-Tech we believe that strong corporate governance, combined with transparent and effective financial controls and reporting, are in the best interest of our shareholders, employees, customers, suppliers, and indeed all stakeholders. We are committed to “best practices” in matters relating to governance and financial accounting.

Corporate governance is the process and structure used to direct and manage the affairs of the Company with the objective of ensuring long-term viability and the enhancement of shareholder value. This mandate is carried out by the Company’s Board of Directors.

The Board of Directors' general obligation is to oversee the management and business affairs of the Company through four key committees - Audit and Finance, Human Resources and Compensation, Corporate Governance, and Investment. The mandates for each of these Committees follow.

The Board, through these four committees and in consultation with management, monitors and makes recommendations regarding: the implementation and compliance with the Company’s stated core values; the ethical and social conduct of its business; the integrity of its financial dealings, controls and reporting; the protection and enhancement of the environment; the health and safety of its employees; employment equity; the development and evaluation of senior management and succession planning; community relations; and the adherence to all applicable laws and regulations.
